Welcome to the Dubuque Main Street (“DMS,” “we,” “us,” “our”) website and any pages, forms, or services that link to these Terms (the “Site”). By using the Site, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Site.

These Terms are a general template for a U.S. nonprofit website. They’re not legal advice. Consider having counsel review and tailor for your exact tools, ticketing, donations, and refund practices.

1) Who we are

Dubuque Main Street is a 501(c)(3) nonprofit organization supporting a vibrant, welcoming downtown Dubuque.

2) Eligibility & account responsibilities

You must be 13 or older to use the Site.
If you create an account or are given admin/editor access, you’re responsible for your login credentials and all activity under your account. Notify us promptly of any unauthorized use.

3) Permitted use & community rules

You agree not to:

Break the law or violate others’ rights.
Upload or transmit anything unlawful, harmful, defamatory, harassing, hateful, obscene, infringing, or spammy.
Interfere with the Site’s security or operation (e.g., hacking, scraping where disallowed, rate-limiting bypass).
Misrepresent your identity or affiliation, or submit false listings, nominations, or applications.
Copy, frame, mirror, or use automated means to access the Site beyond what robots.txt and normal browser use allow.

We may suspend or terminate access for violations.

4) Submissions & user content

The Site may allow you to submit content (e.g., business listings, nominations, event info, photos, stories, comments). You retain your rights in your content, but you grant DMS a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting/display), publish, and display it in connection with our mission, Site, programs, and communications.
You represent you have the necessary rights to share the content and that it doesn’t violate any law or third-party rights.

We may refuse, edit, or remove content at our discretion.

5) Listings, maps, and third-party information

The Site may display business listings, maps, district information, events, and resources compiled by DMS and/or provided by third parties. We strive for accuracy but do not guarantee completeness, timeliness, or accuracy. Map tiles, geocoding, icons, or embeds may be served by third-party providers.

Third-party links/embeds. The Site may link to or embed services we don’t control (e.g., video platforms, social feeds, ticket/donation processors, map providers). Their terms and privacy policies apply to your use of those services.

6) Events, registrations, tickets & donations

Registrations & tickets. Specific event pages may include additional terms (venue policies, age limits, weather, photography, etc.). Those terms control in the event of a conflict.
Refunds. Donations are generally non-refundable. Ticket and fee refunds (if any) follow the event-specific policy or the policy of the ticketing platform.
Merchandise / services. If offered through the Site or a third-party platform, fulfillment and returns follow the posted terms for that program or platform.

7) Photography & recordings at events

By attending DMS events or activities, you understand you may be photographed, filmed, or recorded. You grant DMS the right to use your image, voice, and likeness in connection with event documentation and nonprofit promotional materials, in any media now known or later developed, without additional approval or compensation, to the extent permitted by law and venue policies.

8) Intellectual property

The Site, including logos, text, graphics, and design elements, is owned by DMS or our licensors and protected by law. Except for your own submissions and fair use, you may not copy, distribute, or create derivative works from the Site without prior written permission.

Trademarks. “Dubuque Main Street” and associated marks are trademarks or service marks of DMS. Other names and logos are the property of their respective owners.

9) Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and share information. Please review it carefully.

10) Facebook/Instagram integrations

If you connect a DMS Facebook Page or interact with our social integrations, we may receive page-level tokens and related data necessary to provide publishing/analytics features. You can revoke access in your Facebook/Instagram settings. For how to request deletion of Facebook/Instagram-related data, see the Privacy Policy (User Data Deletion section).

11) Feedback

If you send ideas or suggestions, you agree we may use them without restriction or compensation.

12) Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

13) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, OR GOODWILL; OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR CONTENT—EVEN IF ADVISED OF THE POSSIBILITY.

IN ALL CASES, DMS’S TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SITE WILL NOT EXCEED US $100.

Some jurisdictions don’t allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.

14) Indemnification

You agree to defend, indemnify, and hold harmless DMS and its officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site; (b) your submissions or content; or (c) your violation of these Terms or any applicable law.

15) DMCA / copyright complaints

If you believe content on the Site infringes your copyright, please send a notice including: (1) your contact info; (2) a description of the copyrighted work; (3) the URL/location of the allegedly infringing material; (4) a statement that you have a good-faith belief the use is not authorized; (5) a statement under penalty of perjury that your notice is accurate and you are the copyright owner or authorized to act; and (6) your physical or electronic signature.

16) Changes to the Site and Terms

We may modify or discontinue all or part of the Site at any time. We may update these Terms from time to time. The Effective date above shows the latest version. If changes are material, we will post them here and, when appropriate, highlight them on the Site. Your continued use after changes means you accept the updated Terms.

17) Termination

We may suspend or terminate your access at any time, with or without notice, for any reason or no reason. Sections that, by their nature, should survive termination (e.g., IP ownership, disclaimers, limits of liability, indemnity, governing law) will survive.

18) Governing law & venue

These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Dubuque County, Iowa for any dispute not subject to informal resolution.

19) Export & geographic restrictions

You may not use the Site in violation of U.S. export control or sanctions laws. We provide the Site from the United States and make no representation it is appropriate or available in other locations.

20) Entire agreement; severability; waiver

These Terms (plus any event-specific terms and the Privacy Policy) are the entire agreement between you and DMS regarding the Site. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver.
